Terms and Conditions of Sale and Service

1. Scope and Purpose

1.1 These Terms and Conditions of Sale and Service ("T&Cs") govern all purchases of services and digital products made by customers ("Customer", "you", "your") from TWENTY M SAS, operating under the brand name EasyFranceNow, with registered office at 229 Rue Saint-Honoré, 75001 Paris, France (SIREN 990 370 603) ("TWENTY M", "we", "us", "our").

1.2 These T&Cs apply to the following offerings (the "Services"):

— Administrative assistance services: assistance with French administrative procedures;
— Consulting services: personalised advice relating to French administrative, regulatory, and relocation matters;
— Informational services: structured access to informational content, resources, and guidance;
— Digital Products: downloadable documents, templates, guides, checklists, and similar digital content.

1.3 By placing an Order (as defined below), you accept these T&Cs in their entirety. These T&Cs constitute the complete agreement between you and TWENTY M for any Order, to the exclusion of all other terms.

1.4 TWENTY M reserves the right to amend these T&Cs at any time. The T&Cs in force at the date of your Order govern that Order.

2. Description of Services

2.1 TWENTY M's Services include:

(a) Administrative assistance: guidance and practical support for French administrative procedures, including [TO CONFIRM: e.g., applications for residency permits, visa support documentation, administrative filings with French public authorities];

(b) Consulting: personalised advice on French administrative regulations, relocation, and associated procedures;

(c) Informational services: access to curated guides, resources, and structured information on French administrative matters;

(d) Digital Products: off-the-shelf downloadable files (guides, templates, checklists) available for individual use.

2.2 Important disclaimer — not legal services: TWENTY M's Services are administrative and informational in nature only. They do not constitute legal advice, legal representation, or regulated legal services. TWENTY M is not a law firm and is not authorised to provide legal services. The outcome of any administrative procedure is determined by competent French public authorities, not by TWENTY M, and no specific outcome is guaranteed.

3. Ordering Process

3.1 Quote-based services: To engage TWENTY M for consulting or administrative services, the Customer submits an enquiry via the Website or by email. TWENTY M will provide a written quote ("Quote") specifying the scope, deliverables, price, timeline, and any other applicable conditions. A Quote constitutes a binding offer, valid for 30 days from its date of issue, unless otherwise stated.

3.2 Order formation: An Order is formed when the Customer accepts the Quote in writing (including by email) and, where required, completes the applicable payment. TWENTY M will issue a written order confirmation ("Order Confirmation") upon formation of the contract.

3.3 Digital Products: Digital Products may be purchased directly through the Website. The purchase process is as follows:

(i) Select the Digital Product and review its description;
(ii) Review the order summary and the total price;
(iii) Accept these T&Cs and, where applicable, expressly consent to immediate delivery and the consequent loss of the right of withdrawal;
(iv) Complete payment;
(v) Receive a purchase confirmation and secure download link by email.

3.4 TWENTY M reserves the right to decline any Order at its sole discretion. If an Order is declined after payment has been made, any amount paid will be refunded in full within fourteen (14) days.

4. Customer Obligations

4.1 The Customer undertakes to:

(a) provide accurate, complete, and up-to-date information as required for the performance of the Services;
(b) cooperate in good faith with TWENTY M, including responding promptly to reasonable requests for information, documentation, or instructions;
(c) use the Services and any deliverables solely for lawful purposes;
(d) comply with all applicable laws in connection with their use of the Services.

4.2 TWENTY M shall not be liable for any delay in, or failure of, performance of the Services resulting from the Customer's failure to fulfil its obligations under this clause.

5. Prices and Taxes

5.1 Prices for Services are set out in the applicable Quote. Prices for Digital Products are displayed on the Website at the time of purchase.

5.2 All prices are expressed in Euros (EUR) inclusive of French VAT where applicable, unless expressly stated otherwise. The applicable VAT rate will be indicated at checkout or in the Quote.

5.3 For customers established or resident in the European Union: VAT will be applied in accordance with EU VAT rules. Customers in the EU who qualify as VAT-registered businesses should indicate their VAT number when placing an Order.

5.4 For customers outside the European Union: prices are exclusive of any applicable local taxes, duties, or levies, which are the sole responsibility of the Customer.

5.5 TWENTY M reserves the right to modify its prices at any time. Price changes will not apply to Orders that have already been confirmed.

6. Payment

6.1 Accepted payment methods:

— Bank card (processed securely via Stripe);
— Bank transfer (details provided in the Quote or invoice);
— Invoice (where agreed in the Quote).

6.2 For quote-based Services: unless otherwise agreed in writing, full payment is due prior to commencement of the Services.

6.3 For Digital Products: full payment is due at the time of purchase.

6.4 TWENTY M reserves the right to suspend performance of the Services in the event of non-payment or disputed payment.

6.5 Late payment: If any invoice is not settled by its due date, late payment interest shall accrue at the statutory rate applicable under French law from the due date until actual payment, without requiring prior notice. For transactions qualifying as commercial transactions under French law, the applicable rate is the European Central Bank's most recent refinancing rate plus 10 percentage points, and a flat-rate recovery fee of €40 per overdue invoice shall apply in accordance with Article L.441-10 of the French Commercial Code.

7. Delivery and Performance

7.1 Digital Products: Upon successful payment, TWENTY M will send the Customer a secure download link by email. Delivery is effected instantaneously upon payment confirmation. TWENTY M shall not be held liable for any delay caused by an incorrect email address provided by the Customer.

7.2 Consulting and administrative services: The timeline for performance will be specified in the Quote or Order Confirmation. TWENTY M will use reasonable endeavours to meet agreed timelines. Timelines are indicative and may be affected by the Customer's cooperation obligations or by circumstances outside TWENTY M's reasonable control.

7.3 All deliverables will be provided electronically unless otherwise agreed in writing.

8. Right of Withdrawal — EU Consumer Customers

8.1 General rule: If you are a consumer (a natural person acting outside your trade, business, craft, or profession) resident in the European Union, you have the right to withdraw from any contract of sale or service contract, without giving any reason, within fourteen (14) calendar days of the date of contract formation.

8.2 Exception — Digital Products not supplied on a tangible medium: In accordance with Article L.221-28(13) of the French Consumer Code, implementing EU Directive 2011/83/EU, the right of withdrawal does not apply to digital content not supplied on a tangible medium (such as downloadable guides, templates, or checklists), provided that delivery has begun with your prior express consent before the expiry of the withdrawal period, and you have expressly acknowledged that you will thereby lose your right of withdrawal. Before completing your purchase of a Digital Product, you will be asked to tick a checkbox confirming your consent to immediate delivery and your acknowledgment of the consequent loss of the right of withdrawal. This confirmation is recorded electronically and confirmed to you by email.

8.3 Exception — Services commenced at the consumer's express request: In accordance with Article L.221-28(1) of the French Consumer Code, if you expressly request that the performance of a service begin before the expiry of the 14-day withdrawal period, and the service is fully performed before the end of that period, the right of withdrawal is extinguished. If performance begins but is not yet complete, you may still withdraw but must pay for the proportion of the service already performed, calculated on a pro-rata basis.

8.4 How to exercise the right of withdrawal: To exercise your right of withdrawal where applicable, you must notify TWENTY M before the end of the 14-day period by email at contact@easyfrancenow.com, or by using the model withdrawal form set out in our Refund and Cancellation Policy. TWENTY M will acknowledge receipt in writing. Any refund due will be processed within fourteen (14) days of receipt of your withdrawal notice.

8.5 Non-EU consumers: If you reside outside the European Union, the right of withdrawal described in this clause does not apply. Applicable refund rights are set out in clause 9 and our Refund and Cancellation Policy.

9. Refunds

9.1 Subject to the right of withdrawal provisions in clause 8 and to applicable mandatory law:

(a) Digital Products: No refund will be issued once a Digital Product has been delivered and made available for download, subject to clause 9.1(d) below.
(b) Services not yet commenced: If an Order is cancelled before any work has commenced and outside any applicable withdrawal period, TWENTY M will assess refund requests on a case-by-case basis.
(c) Services partially performed: Where a service has commenced at the Customer's express request, the Customer will be charged for the proportion of the service performed at the date of cancellation.
(d) Technical failure: If TWENTY M is unable to deliver a Digital Product due to a technical fault directly attributable to TWENTY M, the Customer will receive a full refund upon notifying us at contact@easyfrancenow.com within 72 hours of purchase.

9.2 Refunds will be issued to the original payment method used by the Customer. Processing times may vary depending on the Customer's bank or payment provider.

9.3 Full details are set out in our Refund and Cancellation Policy, which forms an integral part of these T&Cs.

10. Intellectual Property

10.1 Website and materials: All intellectual property rights in the Website, its content, TWENTY M's proprietary methodologies, and any tools, templates, or frameworks developed by TWENTY M remain the exclusive property of TWENTY M.

10.2 Custom deliverables: Upon receipt of full payment, TWENTY M assigns to the Customer full ownership of the specific deliverables created for the Customer in the course of a consulting or administrative service engagement (such as completed administrative documents, personalised letters, and custom reports). For the avoidance of doubt, TWENTY M retains all rights in any underlying tools, templates, methodologies, generic frameworks, or pre-existing materials used in producing those deliverables.

10.3 Digital Products: Upon purchase, TWENTY M grants the Customer a personal, non-exclusive, non-transferable, non-sublicensable licence to use the purchased Digital Product for their own individual, personal, non-commercial purposes only. The Customer may not reproduce, distribute, resell, sublicense, or make any commercial use of any Digital Product without TWENTY M's prior written consent.

10.4 No portfolio rights: TWENTY M does not display, reference, or use individual consumer client names, project details, or testimonials for commercial or marketing purposes without the Customer's prior written consent.

11. Confidentiality

11.1 TWENTY M undertakes to treat all documents, personal information, and administrative details disclosed by the Customer in connection with the Services as strictly confidential and will not disclose such information to any third party, except to the extent necessary to perform the Services or as required by applicable law.

11.2 The Customer undertakes to keep confidential any proprietary methods, tools, or information disclosed by TWENTY M in the course of the Services.

12. Personal Data

Processing of personal data in connection with the Services is governed by TWENTY M's Privacy Policy, available at [LINK TO PRIVACY POLICY], which forms an integral part of these T&Cs. By placing an Order, the Customer acknowledges having read and understood the Privacy Policy.

13. Warranties and Disclaimers

13.1 TWENTY M warrants that it will perform the Services with reasonable skill and care and in accordance with the scope set out in the applicable Quote or Order Confirmation.

13.2 TWENTY M does not warrant that:

(a) the Services will produce any specific administrative outcome or result;
(b) any administrative application or procedure assisted by TWENTY M will be approved, accepted, or processed within any particular timeframe by any French public authority;
(c) the informational content provided is complete, exhaustive, or current in all respects at any given time.

13.3 TWENTY M is not a law firm and does not provide legal advice. Nothing in the Services constitutes legal representation, legal advice, or regulated professional services of any kind.

14. Limitation of Liability

14.1 To the fullest extent permitted by applicable law, TWENTY M's total aggregate liability to the Customer — whether arising in contract, tort (including negligence), misrepresentation, or otherwise — in connection with any Order shall not exceed the total amount paid by the Customer for the specific Service or Digital Product giving rise to the claim.

14.2 TWENTY M shall not be liable for:

(a) any indirect, consequential, incidental, special, or punitive loss or damage;
(b) loss of profits, revenue, savings, or anticipated savings;
(c) any loss or damage resulting from the Customer's failure to cooperate or to provide accurate information;
(d) any decision, delay, or action by a French public authority or any third party.

14.3 Nothing in these T&Cs excludes or limits TWENTY M's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under applicable law.

14.4 If you are a consumer, nothing in these T&Cs affects any mandatory rights to which you are entitled under the law of your country of residence.

15. Force Majeure

TWENTY M shall not be in breach of these T&Cs, nor liable for any delay or failure to perform, where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, governmental orders or restrictions, internet or telecommunications outages, third-party service disruptions, or industrial action. TWENTY M will notify the Customer promptly of any such event and will use reasonable endeavours to minimise its impact and resume performance.

16. Termination

16.1 Either party may terminate a service Order by written notice if the other party commits a material breach of these T&Cs and fails to remedy that breach within fifteen (15) calendar days of receiving written notice requiring it to do so.

16.2 TWENTY M may terminate or suspend its Services with immediate effect and without prior notice in the event of: suspected fraudulent activity; provision of false or misleading information; conduct in violation of the Acceptable Use Policy; or non-payment.

16.3 Upon termination: the Customer shall pay for all Services performed up to the date of termination; any refund due will be calculated and processed in accordance with clause 9.

16.4 Clauses 10 (Intellectual Property), 11 (Confidentiality), 14 (Limitation of Liability), 17 (Governing Law), and this clause shall survive termination.

17. Changes to Services and T&Cs

TWENTY M reserves the right to modify, discontinue, or withdraw any Service or Digital Product at any time, without prejudice to Orders already confirmed. Amendments to these T&Cs take effect upon publication and do not apply retroactively to Orders placed before the date of amendment.

18. Online Dispute Resolution and Consumer Mediation

18.1 In accordance with EU Regulation No. 524/2013, consumers in the EU may use the European Commission's Online Dispute Resolution platform to resolve disputes without going to court: https://ec.europa.eu/consumers/odr

18.2 In the event of a dispute that cannot be resolved amicably, and in accordance with Article L.612-1 of the French Consumer Code, consumers may have recourse to the following approved consumer mediator: [TO PROVIDE: name and URL of approved consumer mediator — mandatory before going live].

19. Governing Law and Jurisdiction

19.1 These T&Cs are governed by French law.

19.2 EU consumers: You may bring proceedings either before the courts of your country of residence or before the competent courts of Paris, France, at your option. Mandatory consumer protection rights under the law of your country of residence are not affected by these T&Cs.

19.3 Non-EU customers: Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Paris, France, without prejudice to any mandatory rights under applicable local law.
